TERMS AND CONDITIONS FOR THE PRE-ORDER OF THE SQUAD SOLAR CITY CAR
1. Introduction
Welcome to Squad Mobility BV ("Company"), a company registered in the Netherlands. These Terms and Conditions ("Terms") govern the pre-order reservation of the Squad Solar City Car ("Vehicle") between you ("Customer") and the Company.
By placing a pre-order for the Vehicle, you acknowledge and agree to these Terms.

2. Pre-Order and Pre-Order Fee
2.1 Pre-Order Reservation
By completing the pre-order and/or paying the pre-order fee ("Fee"), you reserve a place in line for a future opportunity to purchase the Vehicle.
2.2 Pre-Order Fee
The Fee is a refundable payment required to reserve the Vehicle and, if a purchase agreement is entered into, will be credited toward the final purchase price of the Vehicle.
2.3 Non-Binding Agreement
This pre-order does not constitute a purchase, sale, or order of the Vehicle. The pre-order only establishes a reservation and priority sequence for a future purchase opportunity.
2.4 No Investment Relationship
The Fee does not constitute an investment, loan, security, equity interest, or any other financial participation in the Company.
2.5 Handling of Pre-Order Fees
The Customer acknowledges and agrees that the Pre-Order Fee is not held in escrow, a trust account, a client account, or any other segregated account. The Pre-Order Fee becomes the property of the Company upon receipt and may be used by the Company for its general business purposes, including but not limited to product development, operations, administration, and working capital.
The Customer's right with respect to the Pre-Order Fee is limited to the refund rights expressly set forth in these Terms. The Customer shall not acquire any ownership interest, security interest, trust interest, preferential claim, or other proprietary right in respect of the Pre-Order Fee or any funds held by the Company.

3. Pre-Order Fee Refundability
3.1 Refund Option
The Fee is fully refundable at any time before the Customer enters into a final purchase agreement for the Vehicle. To request a refund, please contact the Company through the contact form on its website.
Refunds are subject to the Company's continued ability to process payments through its banking and payment service providers and do not create any form of escrow, trust, or safeguarded account arrangement.
3.2 Timing of Refund
Refunds will be processed within 14 calendar days following confirmation of the refund request.

4. Final Purchase Agreement
4.1 Purchase Offer
If and when the Vehicle becomes available for delivery, the Company may invite the Customer to enter into a separate purchase agreement specifying the final Vehicle configuration, purchase price, delivery terms, and other applicable conditions.
4.2 Application of Pre-Order Fee
The Fee will be credited toward the final purchase price as specified in the purchase agreement.
4.3 No Obligation to Purchase
The Customer will have no obligation to purchase the Vehicle and may decline to enter into a purchase agreement for any reason.
4.4 Non-Transferability
The pre-order reservation is personal to the Customer and may not be transferred or assigned without the prior written consent of the Company.

5. Vehicle Specifications and Pricing
5.1 Vehicle Development
The Vehicle is currently under development. Vehicle specifications, features, equipment, performance, range, dimensions, colors, materials, software, and design may change prior to production and delivery.
5.2 Illustrations and Marketing Materials
Any images, renderings, prototypes, demonstrations, specifications, or other marketing materials are for illustrative purposes only and do not constitute binding representations of the final Vehicle.
5.3 Pricing
Any pricing information provided before execution of a final purchase agreement is indicative only. The final purchase price may differ from previously communicated estimates or indications.

6. Estimated Delivery
6.1 Estimated Delivery Dates
Any delivery dates communicated by the Company are estimates only and are subject to change.
6.2 No Guarantee
The Company does not guarantee production, availability, or delivery of the Vehicle by any particular date.
6.3 Program Changes or Cancellation
The Company reserves the right to modify, suspend, delay, discontinue, or terminate the Vehicle development program or the pre-order program at any time. In such event, the Customer's sole remedy shall be a full refund of the Fee.

7. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, punitive, or economic damages arising from or relating to the pre-order reservation, Vehicle development, production delays, delivery delays, cancellation of the Vehicle program, or any inability to purchase the Vehicle.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Force Majeure
The Company shall not be responsible for any delay, interruption, or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, shortages of materials or components, supply chain disruptions, transportation interruptions, governmental actions, regulatory approvals, certification requirements, cyber incidents, acts of war, terrorism, civil unrest, or failures of third-party suppliers.

9. Privacy
Personal data collected during the pre-order process will be processed in accordance with the Company's Privacy Policy.

10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands.
Nothing in these Terms shall deprive consumers of any mandatory rights or protections available under the laws of their country of residence.
Any dispute arising from or relating to these Terms shall be submitted to the competent courts of the Netherlands, unless applicable mandatory consumer protection laws provide otherwise.
